WAGR LLC — TERMS OF SERVICE & USER AGREEMENT

1. ACCEPTANCE & BINDING AGREEMENT
By creating an account, clicking "I Agree," accessing, or using any part of the Wagr platform ("Platform"), you ("User," "you," "your") unconditionally agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and our Sweepstakes Rules, all incorporated herein by reference. IF YOU DO NOT AGREE TO ALL OF THESE TERMS IN THEIR ENTIRETY, YOU MUST IMMEDIATELY CEASE ALL USE OF THE PLATFORM AND DELETE YOUR ACCOUNT. These Terms constitute a binding legal contract between you and Wagr LLC, a Florida limited liability company ("Wagr," "we," "us," "our").
2. ELIGIBILITY — STRICT AGE REQUIREMENT
You must be at least 21 years of age to use this Platform. By creating an account you represent and warrant, under penalty of perjury, that: (a) you are 21 years of age or older; (b) you have the legal capacity to enter into binding contracts in your jurisdiction; (c) your use of the Platform does not violate any law applicable to you; and (d) all information you provide, including your date of birth, is accurate, truthful, and complete.
MINOR MISREPRESENTATION — LEGAL ACTION RESERVED: Wagr LLC expressly reserves the right to pursue all available legal remedies, including but not limited to civil litigation seeking compensatory damages, consequential damages, punitive damages, attorneys' fees, court costs, and any other relief available at law or in equity, against any person who: (i) is under the age of 21 and accesses or uses the Platform; (ii) provides false information regarding their age or identity; (iii) assists a minor in gaining access to the Platform; or (iv) circumvents our age verification systems by any means. This right to sue survives termination of your account and these Terms. We will cooperate fully with law enforcement and will provide all user data, including IP addresses, device identifiers, and payment information, to authorities investigating age misrepresentation. Parents and legal guardians may be held jointly and severally liable for the actions of minors in their custody who access this Platform. BY CLICKING "I AGREE" AND ENTERING YOUR DATE OF BIRTH, YOU ACKNOWLEDGE THAT YOU HAVE PROVIDED THIS INFORMATION KNOWINGLY AND VOLUNTARILY AND THAT WAGR LLC MAY RELY ON THIS REPRESENTATION IN PURSUING ANY AND ALL AVAILABLE LEGAL REMEDIES.
3. SWEEPSTAKES MODEL — NOT GAMBLING
Wagr operates exclusively as a skill-based gaming challenge platform under a lawful sweepstakes promotional model. WAGR IS NOT A GAMBLING PLATFORM AND DOES NOT OFFER GAMBLING SERVICES. Key distinctions: (a) Wagr Coins are virtual promotional currency with no monetary value that cannot be purchased, sold, or transferred outside the Platform; (b) Wagr Cash is a promotional benefit awarded as part of package purchases with real monetary value redeemable as described herein; (c) NO PURCHASE IS NECESSARY to obtain Wagr Coins or to participate — free entry is always available via daily login bonuses, referral bonuses, and Alternative Method of Entry ("AMOE") by mailing a handwritten request to Wagr LLC, Attn: AMOE, Miami, FL; (d) match outcomes are determined solely by the demonstrated gaming skill of participants as verified by official PlayStation Network and/or Xbox Live APIs, not by chance. Wagr expressly disclaims any characterization of its services as gambling, sports betting, or games of chance. You agree not to characterize Wagr's services as gambling in any communication, legal proceeding, or regulatory filing.
4. PLATFORM INTEGRATION — PSN & XBOX
Wagr integrates with official PlayStation Network ("PSN") and Xbox Live APIs to detect multiplayer sessions, verify match results, and confirm player identities. By linking your PSN or Xbox account you: (a) authorize Wagr to access your gaming session data, match history, presence data, and relevant statistics via official platform APIs; (b) represent that you are the rightful owner of the linked gaming account; (c) agree that API-verified match results are final and binding; (d) acknowledge that Wagr is not affiliated with, endorsed by, or sponsored by Sony Interactive Entertainment LLC or Microsoft Corporation; and (e) agree that your use of PSN and Xbox Live remains subject to Sony's and Microsoft's respective terms of service, and that violations of those terms may result in termination of your Wagr account. MATCH RESULTS VERIFIED BY OFFICIAL PLATFORM APIS ARE FINAL AND NOT SUBJECT TO DISPUTE EXCEPT AS PROVIDED IN SECTION 7.
5. SKILL-BASED CHALLENGES & WAGERING
Wagr Coin challenges ("Challenges") are skill-based competitions where participants wager Wagr Coins on the outcome of a verified multiplayer gaming session. By participating in any Challenge you acknowledge: (a) you are competing solely based on your gaming skill; (b) you have a reasonable chance of winning based on skill; (c) the Platform fee of 4% of the total pot is deducted before payout to the winner; (d) once a Challenge is confirmed and Wagr Coins are escrowed, the Challenge cannot be cancelled or refunded; (e) attempting to manipulate match outcomes, disconnect intentionally, use unauthorized software, exploit game mechanics, or engage in any form of cheating will result in immediate account termination, forfeiture of all balances, and potential legal action; (f) playing under the influence of substances that impair judgment does not excuse any obligation under these Terms.
6. PROHIBITED CONDUCT
You expressly agree NOT to: (a) use the Platform if you are under 21 years of age; (b) create multiple accounts; (c) use bots, scripts, macros, or any automated tools; (d) manipulate match outcomes through any means including intentional disconnection, collusion, or match-fixing; (e) misrepresent your identity, age, skill level, or gaming account ownership; (f) engage in money laundering, fraud, or any illegal financial activity; (g) attempt to reverse-engineer, decompile, or circumvent any Platform security measure; (h) harass, threaten, or abuse other users; (i) use a VPN or proxy to circumvent geographic restrictions; (j) share your account credentials with any third party; (k) exploit bugs or vulnerabilities without reporting them to Wagr; or (l) violate any applicable law or regulation. Violation of any prohibition may result in immediate account termination, forfeiture of all balances without refund, civil litigation, and referral to law enforcement.
7. DISPUTE RESOLUTION — AI VERIFICATION & APPEALS
All match results are verified by Wagr's AI Verification Engine cross-referencing official PSN/Xbox API data. Results with AI confidence scores of 92 or above are final and AUTO_PAYOUT is triggered automatically. Results below 92 are reviewed by Wagr operations within 5 business days. You may appeal a result by contacting disputes@wagr.gg within 48 hours of the result. Wagr's determination on any appeal is final and binding. WAGR'S MAXIMUM LIABILITY ON ANY DISPUTED WAGER IS LIMITED TO THE WAGR COINS WAGERED IN THAT SPECIFIC CHALLENGE — NO CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES ARE AVAILABLE FOR CHALLENGE DISPUTES.
8. FINANCIAL TERMS & FEES
All financial transactions are processed by Stripe, Inc. You agree to Stripe's terms of service in addition to these Terms. Applicable fees: (a) Platform Fee: 4% of total pot deducted before winner payout; (b) Redemption Fee: 1.5% of gross withdrawal amount deducted from Wagr Cash withdrawals; (c) minimum withdrawal is $5.00 USD; (d) withdrawals are processed within 1–3 business days via Stripe Connect; (e) Wagr Cash has no cash equivalent value until a withdrawal is initiated and processed. You are solely responsible for all applicable taxes on amounts received. Wagr will issue 1099 forms as required by law. Chargebacks or payment disputes filed with your bank or card issuer for completed, fulfilled transactions are a material breach of these Terms and may result in account termination, debt collection, and legal action to recover all amounts including bank fees and attorneys' fees.
9. INTELLECTUAL PROPERTY
All Platform content, trademarks, logos, trade dress, software, and technology are the exclusive property of Wagr LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose. You may not reproduce, distribute, modify, create derivative works of, or exploit any Platform content without express written consent from Wagr LLC. "PlayStation," "PS5," and "PSN" are trademarks of Sony Interactive Entertainment LLC. "Xbox" and "Xbox Live" are trademarks of Microsoft Corporation. Use of these marks does not imply affiliation, endorsement, or sponsorship.
10. PRIVACY & DATA
By using the Platform you consent to the collection, processing, and storage of your personal data as described in our Privacy Policy. Wagr collects: account information, gaming session data obtained via PSN/Xbox APIs, transaction records, device identifiers, IP addresses, and usage analytics. We share data with Stripe (payment processing), Supabase (database), and platform API providers as necessary to operate the service. We will disclose your data to law enforcement without notice when legally required or when we reasonably believe disclosure is necessary to protect rights, property, or safety. You have no expectation of privacy with respect to data you share on the Platform that relates to alleged violations of these Terms.
11. DISCLAIMERS & LIMITATION OF LIABILITY
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED/ERROR-FREE OPERATION. WAGR DOES NOT WARRANT THAT: (a) THE PLATFORM WILL MEET YOUR REQUIREMENTS; (b) API DATA FROM PSN OR XBOX WILL BE ACCURATE OR AVAILABLE AT ALL TIMES; (c) ANY ERRORS WILL BE CORRECTED; OR (d) THE PLATFORM IS FREE FROM VIRUSES OR HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WAGR LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT WAGR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WAGR'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE GREATER OF: (i) $100 USD; OR (ii) THE TOTAL FEES PAID BY YOU TO WAGR IN THE SIX MONTHS PRECEDING THE CLAIM.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Wagr LLC and its members, managers, officers, employees, agents, successors, and assigns from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your misrepresentation of your age or identity; (e) any Challenge you participate in; (f) your violation of any applicable law; or (g) any content you submit to the Platform. Wagr reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.
13. GOVERNING LAW, JURISDICTION & MANDATORY ARBITRATION
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. EXCEPT FOR CLAIMS FOR INJUNCTIVE OR EQUITABLE RELIEF AND CLAIMS RELATED TO INTELLECTUAL PROPERTY, ALL DISPUTES ARISING FROM THESE TERMS OR THE PLATFORM SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, conducted in Miami-Dade County, Florida. YOU AND WAGR EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN CLASS ACTION LITIGATION. Arbitration is final and binding. The arbitrator may award any relief that a court could award, except that the arbitrator may not award relief that exceeds the limitations set forth in Section 11. Any claim not subject to arbitration shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction there.
14. CLASS ACTION WAIVER
YOU EXPRESSLY WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING AGAINST WAGR LLC IN ANY FORUM. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY. If this waiver is found unenforceable for any claim, that claim must be brought in court and severed from any arbitration proceeding.
15. TERMINATION
Wagr may suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. Upon termination: (a) your license to use the Platform terminates immediately; (b) Wagr Coins are forfeited with no compensation; (c) pending Wagr Cash withdrawals will be processed at Wagr's discretion, and may be withheld pending investigation of any suspected violation; (d) Wagr reserves the right to retain your data as required by law or for legitimate business purposes. You may terminate your account by contacting support@wagr.gg. Sections 2 (age liability), 9, 11, 12, 13, 14, and 16 survive termination.
16. MISCELLANEOUS
(a) Entire Agreement: These Terms, together with the Privacy Policy and Sweepstakes Rules, constitute the entire agreement between you and Wagr LLC regarding the Platform and supersede all prior agreements. (b) Severability: If any provision is found unenforceable, the remaining provisions remain in full force. (c) No Waiver: Failure to enforce any provision is not a waiver of our right to enforce it later. (d) Assignment: You may not assign your rights under these Terms. Wagr may assign freely. (e) Force Majeure: Wagr is not liable for failures caused by circumstances beyond our reasonable control, including API outages from PSN or Xbox. (f) Updates: Wagr may update these Terms at any time.
